Acceptance of Terms
By accessing or using the website, platform, and services available at flexus.team (collectively, the “Service”) provided by SMALL MAGELLANIC CLOUD AI LTD (“Flexus”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.
Description of Service
Flexus is a browser-based platform (desktop and mobile) for offline service businesses where leads and customers arrive through messengers and revenue depends on response speed and response quality. The Service helps businesses manage inbound conversations from messengers such as WhatsApp, Instagram, Telegram, and other supported channels, together with CRM records, calendar-related workflows, onboarding, payments/top-ups, and Sidra, our AI assistant for customer-service messaging.
The Service is usage-metered and may include coin-based billing and daily spend limits, as described elsewhere in these Terms and in the documentation.
Accounts and Access
Registration & sign-in
You can register and sign in using supported authentication methods. You’re responsible for safeguarding your credentials and for all activity under your account; notify us promptly of any unauthorized use.
Workspaces
When you register, you create a Workspace that becomes your primary environment. You may create additional Workspaces, delete Workspaces you own, invite users to your Workspace, and if permitted join other Workspaces.
Roles & permissions
Access is governed by role-based permissions (e.g., viewer, member, moderator, administrator). The current permission matrix is defined in our documentation and may evolve.
Ownership
As between you and us, the Workspace Owner controls Workspace settings, membership, and billing, and owns the content and outputs generated within that Workspace. Ownership transfer of a Workspace is not available.
Billing responsibility
Each Workspace maintains a single balance. The Workspace Owner or a user with the billing role is the payer for usage by all members within that Workspace.
Security & abuse
We apply reasonable safeguards. We may suspend or restrict access on a risk-based, market-standard basis for suspected abuse, fraud, non-payment, or material breach.
Billing and Coins
Purchases and denominations
Users can purchase coins through Stripe. 1 coin = 0.000001 USD. Payments are strictly usage-based: coins are deducted only when Agents perform actions.
How usage is metered
Each Agent operates by interacting with a model (LLM) via API calls, sending a request (prompt/context) and receiving a response. During each request, the model consumes tokens (units of input and output text). The number of tokens consumed is determined by the tokenizer of the specific model and reported in the API response.
Conversion to coins
Consumed tokens are converted into coins based on the pricing set by the applicable model provider (e.g., USD per 1,000 tokens). The Platform calculates the corresponding coin amount from the provider’s published rates at the time of processing and deducts that amount from your account balance.
Provider control & changes
Tokenization logic, pricing, and cost calculation are determined by the respective model provider and may vary by model and endpoint. Provider pricing may change at any time, and the Platform reflects such changes when they become effective per the provider’s documentation.
Workspace balance & payer
Balances are maintained per Workspace. The Workspace Owner or a user with the billing role is the payer for usage by invited members within that Workspace.
Daily spend limits
We may apply daily spending limits to help manage risk and prevent abuse. The behavior of limits is defined in the other documents and may change.
Taxes
Where required, taxes are collected/remitted via Stripe.
Refunds
All payments are non-refundable, except in cases of documented billing error, in which case we will credit or refund the erroneous amount.
Chargebacks & fraud
We may place holds, freeze balances, or suspend access in case of suspected fraud or chargebacks while we investigate.
Integrations and Third-Party Services
Your use of integrated services, Meta services, messaging providers, payment providers, calendar providers, CRM tools, and model providers is subject to their terms and privacy policies. You authorize us to connect, transmit, and process data as necessary to operate the integrations you enable.
User Content & Outputs
Ownership
As between you and us, content you or your members submit to a Workspace (“User Content”) and content generated within that Workspace (“Outputs”) are the intellectual property of the Workspace Owner.
License to operate the Service
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content and Outputs solely to operate, maintain, secure, and improve the Service.
Privacy & data handling
The order and mechanics of personal data processing, retention, deletion, and user rights are governed by our Privacy Policy (incorporated by reference).
Your responsibilities
You represent that you have the necessary rights and legal basis to submit and process User Content; that your use complies with law; and that you will not submit unlawful, harmful, or infringing material.
Acceptable Use
You agree not to: engage in unlawful activity; attempt unauthorized access; interfere with or disrupt the Service; compromise the system integrity or security; decipher any transmissions to or from the servers running the Service; circumvent limits or safeguards; submit malware or spam; misrepresent identity or affiliation; or otherwise use the Service in a manner that poses unreasonable risk to us or others.
Messenger and Meta Messaging Obligations
When you connect WhatsApp, Instagram, Telegram, or another supported messenger through Flexus, you agree to the following connected-business obligations:
Flexus’s current default messenger behavior is focused on reply-only customer-service conversations. Flexus responds to inbound customer threads. Unless explicitly enabled for a customer and permitted by the applicable platform rules, permissions, and review status, Flexus does not provide business-initiated first contact, campaigns, reminders, marketing follow-up, sales follow-up, outbound template messaging, or a user-facing ability to create arbitrary agents that can use Meta messengers.
Flexus blocks non-compliant sends before any provider or messaging API call where its policy checks determine that a message is not allowed, including opt-out, unsupported message type, missing connected-account authorization, or customer-service window restrictions.
Lawful Basis and Consent
- You are solely responsible for obtaining and maintaining lawful basis and any required opt-in consent from end customers before messaging them through any connected messenger
- You must maintain accurate consent records demonstrating that recipients have agreed to receive messages from your business
- You may not use purchased, scraped, or otherwise obtained contact lists without proper consent
Opt-out and Unsubscribe
- You must honor all opt-out, unsubscribe, and stop requests promptly and without delay
- Flexus provides tools to manage opt-out status, but you are responsible for ensuring compliance
- Once a customer opts out, you must not send them further messages unless they re-opt-in
Message Windows, Platform Limits, and Templates
- You understand that messaging platforms may impose customer-service windows, response windows, permissions, rate limits, content rules, or other platform-specific limits
- Flexus’s current default messenger implementation is limited to reply-only customer-service conversations inside the applicable allowed window for each channel
- Out-of-window or business-initiated sends are not supported unless they are explicitly enabled in the product and permitted by the applicable platform rules, permissions, and review status
- For WhatsApp, free-form replies are limited to the applicable customer-service window unless another WhatsApp-approved message type is explicitly supported, enabled, and permitted by the applicable platform rules and review status.
- WhatsApp template references in these Terms are policy context only. Flexus does not currently offer WhatsApp template transport, a template catalog, or a template picker as part of the default messenger product
Compliance with Meta Policies
- Your use of Meta messaging channels through Flexus must comply with Meta Platform Terms, WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, Instagram Platform policies where applicable, and all applicable laws
- Your use of Telegram or other non-Meta messengers through Flexus must comply with the applicable platform terms and policies for those channels
- You may not use any messaging channel through Flexus for cold outreach, unsolicited marketing, or spam
- All messages must comply with applicable commerce, business, and platform policies
AI-Generated Messages
- AI-assisted replies sent through connected messengers are subject to the same consent, opt-out, customer-service window, account-check, audit, and approval requirements as human-composed replies
- AI-assisted replies may be used only for inbound customer-service threads within the applicable allowed window for each channel unless another message type is explicitly enabled and permitted by the applicable platform rules
- You remain responsible for the content and compliance of all AI-assisted replies sent from your workspace
No Unsolicited Messaging
- You may not send unsolicited messages to individuals who have not provided explicit consent
- You may not use automated means to harvest phone numbers, usernames, user IDs, or other contact identifiers, or send bulk unsolicited messages
- You may not misrepresent your identity or the purpose of your messages
Data Handling
- You are the data controller for end customer data processed through connected messenger channels
- You must inform end customers about your data practices and provide them with a privacy policy
- You must handle end customer data in accordance with applicable data protection laws
Service Changes and Experimental Features
We may add, change, or remove features for all users or specific cohorts. Features marked Experimental or similar are provided as-is, may be modified or withdrawn, and may be subject to additional terms.
Suspension and Termination
We may suspend or restrict access promptly if we reasonably believe there is a breach of these Terms, risk to the Service or other users, or suspected fraud or abuse. We will notify the Workspace Owner without undue delay where reasonable and may restore access once the issue is resolved. If a breach is not cured within a reasonable period after notice (or sooner where the breach is not remediable), we may terminate access to the affected account(s)/Workspace(s). You may stop using the Service at any time; billing obligations incurred prior to termination remain due.
Warranties and Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
Changes to These Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms of Service on this page and updating the “Last Updated” date. The effective date of the current version appears in the “Last Updated” line at the top of this page.
Intellectual Property & Trademarks
The Service (including software, UI, and documentation) and its original content is owned by SMALL MAGELLANIC CLOUD AI LTD and its licensors. All rights not expressly granted are reserved. Flexus, flexus.team, and related marks and logos are trademarks or trade names of SMALL MAGELLANIC CLOUD AI LTD and may not be used in connection with any product or service without the prior written consent of SMALL MAGELLANIC CLOUD AI LTD.
Non-Affiliation Disclaimer
Flexus is an independent service provider and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., WhatsApp LLC, or Instagram, LLC. WhatsApp is a trademark of WhatsApp LLC. Instagram is a trademark of Instagram, LLC. Meta Platform Terms and WhatsApp Business policies are separate from these Terms and must be complied with independently.
Note on Messaging Channels: WhatsApp, Instagram, Telegram, and other messengers are separate channel integrations with their own platform terms, permissions, and review requirements. Flexus uses each channel only where enabled for the connected business and permitted by the applicable platform rules.
